ContextWP is owned and operated by Nose Graze Limited (“we”, “us”). This agreement outlines the Terms of Service for using contextwp.com, app.contextwp.com (“Site”), its APIs, and other related services (collectively, “Services”). By signing up on app.contextwp.com you agree to be bound by these terms (“Terms”).

Modification

Nose Graze Limited reserves the right to add, delete, or modify the terms of service at any time. It is your responsibility to periodically review these Terms and Conditions to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms and Conditions by your continued use of the Site after the date such revised Terms and Conditions are posted.

Subscriptions

Our Services are billed on a recurring, subscription basis, in accordance with the pricing outlined on our site (contextwp.com/pricing).

When you sign up for a plan through our Site, you authorize us to collect renewal payments automatically for the use of our Services. You agree to pay the selected amount in full, for each billing cycle (on the advertised schedule), until cancellation.

Fee changes

Nose Graze Limited reserves the right to modify the price of a Subscription at any time. If the price of your chosen plan changes, you will be provided with at least 30 days written notice to the email address associated with your account. This gives you an opportunity to cancel your subscription if you do not wish to pay the new fee. If, after the 30 days notice, you continue to use the service, then this constitutes your irrevocable agreement to pay the modified fees for the subscription as long as it remains active.

Cancellation and termination

You may choose to cancel your subscription at any time through the account area of our Website. If you have difficulty cancelling through the Website then you may email [email protected] and we can cancel it on your behalf.

Upon cancellation of your Subscription, Nose Graze Limited will cease providing the Service to your account. Once your subscription has been cancelled, Nose Graze Limited may permanently delete your account and its associated information. This information may not be restored in the event that you choose to resume the Services with a new subscription at a later date.

Nose Graze limited reserves the right to suspend or terminate any accounts—or otherwise deny access to the Service—for any reason, and without notice. If your account access has been revoked, you are not permitted to create another account in an attempt to bypass that suspension or termination.

Usage limits

Each plan comes with advertised usage limits. For example: a limit on the number of products that can be created, and/or a limit on the number of “active sites” that may send data to the Service.

An “active site” is defined as one that has sent data to the Service at least once within the last 60 days. If you reach or exceed your active site limit then Nose Graze Limit may cease processing incoming data for any sites that go over this limit. Nose Graze Limit also reserves the right to cancel your account in the event that you exceed the limit and choose not to upgrade to a higher plan to accommodate your usage.

Refunds

Subscription fees are non-refundable, except for the first payment made on your account. If you are not satisfied with the service then you have 14 days from the date of payment to request a full refund. This refund will be provided, your subscription will be cancelled, and your account will be deleted. (You may not request a refund and continue to use the Service.)

Subsequent payments (including upgrades) are non-refundable.

Discount policy

Nose Graze Limited may occasionally offer discounts on subscription plans and payments. These discounts are available as per the advertised terms on our Website at the time of the offering.

Discounts typically only apply to the first payment in a subscription. After the first payment is made, the subscription will charge using the regular, non-discounted price.

In some cases, discounts may be offered to new customers only. If this is the case then existing customers are not entitled to a “price match” and may not request a discount on an existing subscription plan to match a new introductory offer.

Acceptable use policy

This service is designed to accept periodic (approximately once per week) data from sites. By using this service you agree to not attempt to send data at an excessive, higher frequency. If we receive incoming data at an excessively high rate that negatively impacts our ability to manage the server, then we may take actions to throttle, rate limit, or otherwise reduce these requests. This may impact the data available on your dashboard.

For example: if sites with your product installed each send data once per minute, then we may temporarily or permanently block, throttle, or otherwise delay these requests.

Accounts

In order to utilize our Service, you will be required to create an account on our website app.contextwp.com. You agree to provide accurate information when creating your account, and you agree that you will be solely responsible for maintaining the confidentiality of your account information and authentication details. You are solely responsible for all activities that occur under your account information.

Account details may not be shared or transferred to another individual.

Disclaimer of warranties

YOU AGREE YOUR USE OF THE SERVICES AND ALL INFORMATION AND CONTENT (INCLUDING THAT OF THIRD PARTIES) IS AT YOUR RISK AND IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE DISCLAIM ALL WARRANTIES OF ANY KIND AS TO THE USE OF THE SERVICES, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICES (i) WILL MEET YOUR REQUIREMENTS, (ii) WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE, AND (iv) ANY ERRORS IN THE SERVICES OR TECHNOLOGY WILL BE CORRECTED.

Governing law

These Terms and your use of the Site are governed by and construed in accordance with the laws of the United Kingdom. You submit to the exclusive jurisdiction of the United Kingdom courts for any matter or dispute arising in relation to these Terms.

Severability

If any term or provision of these Terms is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of these Terms or invalidate or render unenforceable such term or provision in any other jurisdiction.
